Terms & Conditions

By accessing this website, requesting a proposal, or engaging Code Vertex Solutions (SMC-Private) Limited ("Code Vertex Solutions," "we," "us") for software engineering services, you agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity.

These terms govern all services including web application development, mobile application development, desktop software engineering, UI/UX design, and ongoing technical maintenance.

All engagements begin with a written project brief or Statement of Work (SOW) that defines the scope, deliverables, timeline, and payment schedule. Work outside the agreed scope will be discussed, quoted separately, and executed only upon written approval.

We reserve the right to decline any project that conflicts with our values, technical capabilities, or ethical standards. Discovery calls and technical consultations do not constitute a service agreement.

Payment schedules are defined per project in the SOW. Unless otherwise agreed in writing:

Deposit: A 50% deposit is required before development begins.

Milestone payments: Remaining balance is tied to agreed delivery milestones.

Final payment: Due before handover of source code, credentials, or deployment.

Late payments: Invoices unpaid beyond 14 days of the due date may incur a 2% monthly late fee.

All prices are quoted in USD or PKR as specified in the project agreement. We accept bank transfer, JazzCash, and EasyPaisa.

Upon receipt of full payment, the client receives full ownership of all custom code, designs, and deliverables produced specifically for their project — unless otherwise agreed in writing.

The following remain the property of Code Vertex Solutions:

• Internal frameworks, boilerplate code, and reusable utility libraries developed independently

• Proprietary development tools and CI/CD workflows

• This website and all its content

Open-source libraries used in your project are governed by their respective licenses, which we will document and provide upon project completion.

Both parties agree to keep confidential any proprietary business information, technical details, trade secrets, and client data shared during the course of the engagement. This obligation survives project completion by a period of 3 years.

We are happy to sign a mutual NDA before detailed discussions begin. Contact us at contact@codevertex.solutions to request one. We maintain strict internal policies preventing any unauthorized disclosure of client project details.

Revisions within the agreed scope are included throughout the development cycle. Post-launch, we provide a **30-day bug fix warranty** covering defects in the delivered code — at no additional cost.

The warranty does not cover:

• Changes to scope or new feature requests

• Issues arising from third-party API or service changes

• Modifications made by the client or a third party after handover

• Performance issues caused by inadequate hosting infrastructure chosen by the client

Code Vertex Solutions shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of or inability to use our services.

Our total liability for any claim arising under these terms shall not exceed the total fees paid by the client for the specific service from which the claim arises. We strongly recommend that clients maintain appropriate insurance and backup solutions for mission-critical systems.

These Terms and Conditions are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from these terms or related service agreements shall first be addressed through good-faith negotiation between both parties.

If a dispute cannot be resolved within 30 days of written notice, either party may pursue resolution through binding arbitration or the relevant courts in Karachi, Sindh, Pakistan.
